ヤマハ発、希望退職800人募集へ（2/6日経）

ヤマハ発動機は５日、800人の希望退職を募集すると発表した。８月中に募集し、退職日は10月のいずれかの日に設定する。退職加算金など条件の詳細は今後労働組合と協議するとしている。
今回の希望退職に関する退職加算金などの費用は、2009年12月期決算の特別損失として110億400万円を計上ずみ。

このリストラ費用の計上によってヤマハ発動機の連結最終損益は2162億円の赤字になったとのことです（新聞記事より）。膿を2009年度12月期（この会社は12月決算）に出してしまおうということなのでしょう。

しかし、8月に募集し、10月に退職となるリストラ費用を前年の12月に計上というのは大きな判断が必要な会計処理と言えましょう。日本基準であると特段リストラ費用に限定した基準はありませんので、企業会計原則の引当金の原則（注解18）に該当すれば引当金を計上することができます。将来の費用であり、発生が当期以前の事象に起因し、発生の可能性が高く、金額が合理的に見積もれればいいことになります。

しかしながら、IFRSでは計上の範囲は日本基準よりは限定されます。
IAS37号の引当金の規定にはリストラクチャリングの項もありますが、計上の基準については下記の通りとなっています。

72 A constructive obligation to restructure arises only when an entity:
(a) has a detailed formal plan for the restructuring identifying at least:
（略）
(b) has raised a valid expectation in those affected that it will carry out the
restructuring by starting to implement that plan or announcing its main
features to those affected by it.

と、(b)でリストラクチャリングの実行が確実に見込まれる場合、としており、

74.For a plan to be sufficient to give rise to a constructive obligation when
communicated to those affected by it, its implementation needs to be planned to
begin as soon as possible and to be completed in a timeframe that makes
significant changes to the plan unlikely. If it is expected that there will be a long
delay before the restructuring begins or that the restructuring will take an
unreasonably long time, it is unlikely that the plan will raise a valid expectation
on the part of others that the entity is at present committed to restructuring,
because the timeframe allows opportunities for the entity to change its plans.

計画が変わらないように、さっさと実行することが必要だということです。

８月に募集をする早期退職の費用を引き当てることがこの条文上どう解釈されるかですが、確実性を証明するのは大変のような気がします。

ちなみにこれが米国基準になりますと、一般的には退職する人員が個人単位で確定していないと引当金を計上できないと言われています。このケースの場合はまず無理でしょうね。

このように日本の会計基準で認められる引当金が、IFRSでは過度に保守的と見られ計上できないケースは結構あるのではないかと考えており、今後のウォッチ対象かと思っております。
